These Terms of Service ("Terms") govern access to and use of services, software, websites and consulting offerings provided by Davanji EHS Solutions ("Davanji", "we", "us"). By creating an account, subscribing, or otherwise using our services, you ("Customer") agree to be bound by these Terms.
Davanji provides:
Customer is responsible for: maintaining the confidentiality of account credentials; the accuracy of information uploaded to the platform; ensuring that authorized users comply with these Terms; and the proper use of Davanji deliverables within their own EHS programs.
Free trials are subject to administrator approval and may be limited in duration, features, users, or sites. Davanji may revoke or modify trial access at any time. No payment information is required for a trial. Upgrade to a paid plan is required to continue access beyond the trial period.
Subscription fees, billing periods, and feature entitlements are described in the order form or product pricing page in effect at the time of purchase. Subscriptions auto-renew unless canceled before the renewal date. See our Refund & Cancellation Policy and SaaS Subscription Terms for details.
Customer retains all rights, title and interest in data uploaded to the platform ("Customer Data"). Davanji is granted a limited license to host, process and display Customer Data solely to provide the services. See our Data Processing Statement and Privacy Policy.
Customer agrees not to misuse the services. Prohibited activities are described in our Acceptable Use Policy.
Davanji retains all rights in the platform, its templates, documentation, and consulting work product methodology. Customer is granted a limited, non-exclusive, non-transferable license to use the platform during an active subscription.
Each party will protect the other's confidential information with the same care it uses for its own confidential information, and at minimum reasonable care.
The platform is provided "as is" and "as available." Davanji does not warrant that the platform will be uninterrupted, error-free, or that it will produce any specific compliance outcome. EHS compliance is the Customer's responsibility. See our General Disclaimer and Consulting Services Disclaimer.
To the maximum extent permitted by law, Davanji's aggregate liability is limited as described in our Limitation of Liability policy.
Either party may terminate for material breach with 30 days' notice if the breach remains uncured. Davanji may suspend access for non-payment or violations of the Acceptable Use Policy.
These Terms are governed by the laws of the State of Florida, USA, without regard to conflict of law principles. Any dispute will be brought in the state or federal courts located in Florida.
We may update these Terms from time to time. Material changes will be communicated by email or in-platform notice with reasonable notice.
